Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Metric application ("Service") operated by Jeffrey A. Ver, a sole proprietor ("we," "us," or "our"), available at https://themetric.io.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

The Metric is a business operating system for structured leadership teams. The Service enables individuals and teams to manage meetings, quarterly targets, scorecards, issues, to-dos, and related business data. Optional integrations allow users to connect third-party services including QuickBooks Online, Google Calendar, Slack, Salesforce, and GitHub.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@themetric.io if you suspect unauthorized use of your account.

3. QuickBooks Integration

The Service offers an optional integration with Intuit QuickBooks Online. By connecting your QuickBooks account, you authorize The Metric to:

Scope and limitations. Our access is limited strictly to the read-only financial reports listed above. We do not access transaction details, customer records, payroll data, or any QuickBooks data beyond what is required to populate your scorecard metrics.

Data handling. Financial data retrieved from QuickBooks is stored in your account and is not shared with any third party. OAuth tokens are stored securely and used solely to make authorized API calls on your behalf.

Disconnection. You may disconnect the QuickBooks integration at any time from the Workspace Settings page. Disconnecting immediately revokes our access and deletes your stored OAuth tokens.

Intuit policies. Use of the QuickBooks integration is additionally governed by Intuit's Terms of Service and developer platform policies. We are not affiliated with or endorsed by Intuit Inc.

You retain all ownership rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you.

We do not claim ownership of Your Data and will not use it for any purpose other than operating and improving the Service. Upon account deletion, Your Data will be removed from our systems within 30 days.

6. Intellectual Property

The Service, including its design, code, features, and content (excluding Your Data), is owned by Jeffrey A. Ver and protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

7. Third-Party Integrations

The Service may integrate with third-party platforms (QuickBooks, Google, Slack, Salesforce, GitHub). These integrations are provided for your convenience. We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party platforms is governed by their respective terms of service and privacy policies.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any financial data synced from third-party services will be accurate or complete. Financial metrics displayed in the Service are for informational purposes only and do not constitute financial, accounting, or legal advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEFFREY A. VER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

10. Termination

You may terminate your account at any time by contacting us at support@themetric.io. We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 8, 9, and 11 survive termination.

11. Governing Law

These Terms are governed by the laws of the United States. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration or in a court of competent jurisdiction, at our election.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms at https://themetric.io/terms with a revised effective date. Your continued use of the Service after any change constitutes acceptance of the updated Terms. If changes are material, we will make reasonable efforts to notify you by email.
